Frederick J. Marquardt
Frederick J. Marquardt is Senior Managing Director of Morrow & Co., LLC, a proxy solicitation firm, based in Stamford, CT, and has over 35 years experience in the industry. He provides Corporate Governance Consulting, Proxy Solicitation and Advisory Services for companies in the United States, Asia, and Europe.

Mr. Marquardt is a frequent speaker at law firms, corporate management groups, board committees and professional organizations on corporate governance and proxy issues. He is a member of the International Corporate Governance Network ("ICGN"), the Society of Corporate Secretaries and Governance Professionals, and The Korea Society.

Mr. Marquardt has an MBA (Finance) degree from St. John's University, and a BA degree from Queens College of the City University of New York.

Christopher Hummel
Chris Hummel is Vice President of the Western Region for Broadridge Financial Solutions, Inc. Chris brings to public corporations technology driven services designed to increase the effectiveness of shareholder communications and respond to the preferences and interests of shareholders. Fundamental to his role is helping corporations respond to economic and regulatory changes with emphasis on proxy processing, Transfer Agent services and electronic communication sourced through the Virtual Meeting, Shareholder Forum and Mobile ProxyVote. He is also responsible for the registered proxy business, providing Issuers with solutions that make it possible to consolidate both beneficial and registered processing environments. Prior to joining Broadridge, Chris was with Federated Investors, an investment management company. He is a member of the San Francisco and Silicon Valley NIRI chapters and a member of the Society of Corporate Secretaries.

William P. Fiske
William (Bill) Fiske has more than 20 years experience providing strategic proxy solicitation and corporate governance counsel. He develops and implements targeted investor communication strategies for publicly-traded companies involved in shareholder meetings and corporate actions, including negotiated mergers and acquisitions, unsolicited takeovers, shareholder activism and proxy contests.

Previously, Bill was a Senior Vice President at Corporate Investor Communications, Inc., where, prior to its merger into Georgeson in 2000, he was head of the firm's Proxy Solicitation and Corporate Governance Advisory Group.

Bill earned a bachelor's in economics from Rutgers University. He has been quoted in a variety of industry publications including Investor Relations Magazine and The M&A Journal and has been a featured guest speaker at numerous industry seminars. Bill is a member of the Society of Corporate Secretaries and Governance Professionals.

He also has served as vice president and international treasurer for Marion Merrell Dow, Inc., a global pharmaceutical firm, and managed that company's investor relations. He is now a principal of DeMarche and serves as a specialized consultant to DeMarche clients in its corporate finance and investor relation's practices.

Mr. Meierhoffer earned a bachelor's degree in business administration from the University of Missouri and an MBA from Rockhurst University. He is a member of the Financial Executives Institute, the American Institute of CPAs and the Missouri Society of CPAs. He serves on the University of Missouri Alumni Association National Board, is a member of the College of Business Strategic Development Board and the School of Accountancy Advisory Board. He also serves on the Finance and Technology committees for the city of Leawood, KS, and the Kansas City Community Blood Center Board of Directors.

Holding Companies Accountable: A Colorado shareholder activist reports from the frontline

Many executives know of Gerald Armstrong for the same reasons many shareholders cheer the well-known Colorado shareholder activist: Mr. Armstrong holds companies accountable. Please join us for a unique event as Mr. Armstrong will share his history of becoming a shareholder activist, what drives him to seek justice for shareholders and how issuers distance themselves from shareholder proposals and tough questions at the annual meeting. This will be a great session to hear a success story from a Colorado native who makes many executives nervous. Mr. Armstrong attended his first annual meeting in 1967 and has been written up by many media sources including the Denver Business Journal. Mr. Armstrong is the Colorado shareholder activist who has created wealth for himself through his own investments and helping other shareholders by making public companies more accountable through shareholder proposals and hard to answer questions at the annual meeting.

Mr. Armstrong "seeks justice for the shareholders, and fair returns."

Mr. Armstrong was the President of The Rocky Mountain Fuel Company from 1973 to 2006 which the position he gained through a proxy fight. Mr. Armstrong is very proud of the track record of the dividends paid for by The Rocky Mountain Fuel Company. The company was sold in 2006 and was a good transaction for all shareholders.

Mr. Armstrong is an avid reader of annual reports, quarterly releases, interesting filings, Barron's, Wall Street Journal, Business Week, Denver Business Journal, Bloomberg Marketplace, and other local publications.

John and Lewis Gilbert, Wilma Soss, and Josephine Roche were among mentors of Mr. Armstrong.

Mr. Armstrong's shareholder proposals include declassification of board terms to one year, majority voting requirements for the board members to be elected or re-elected, say-on-pay, special meetings to be called by shareholders, and voting on the board's compensation committee report and executive compensation.

About the speaker:
Dr. Frank M. Hatheway is Chief Economist of the NASDAQ OMX Group Inc., and leads the Economics & Statistical Research Department. His team is responsible for a variety of projects and initiatives in the U.S. and Europe to improve market structure, encourage capital formation, and enhance trading efficiency. A regular participant in industry events for both issuers and traders, he has appeared before the Securities and Exchange Commission and the U.S. Congress to discuss a variety of issues around the equities and derivatives markets. His recent projects include identifying the causes of the May 6, 2010 market break, evaluating enhancements for the markets, and exploring the implications of the current round of proposed exchange mergers.

Dr. Hatheway's background prior to joining NASDAQ OMX combines academics and regulation with industry experience. In 2009, nearly $1 out of every $8 professionally managed in the US was invested using at least one socially responsible investment strategy. Internationally, over 970 signatories, representing over $25 trillion in investment assets, have committed to the United Nations Principles of Responsible Investing, and have pledged to integrate environmental, social, and governance factors into their investment decisions. Cheryl Smith will discuss the extent and growth of the community of investors applying environmental, social, and governance criteria to the selection and management of investment portfolios. She will discuss the characteristics of these investors, what matters to them, and how best to communicate with them.

Biography
Cheryl Smith is President and Senior Portfolio Manager at Trillium Asset Management Corporation ("Trillium"), an employee-owned investment management company solely devoted to socially responsible investment. After beginning her career as Assistant Professor of Economics at the University of Denver, Ms. Smith began her investment management career at Trillium Asset Management in 1987. In 1992 she joined United States Trust Company in Boston (now known as Walden Asset Management) as Vice President and portfolio manager, before rejoining Trillium Asset Management in the fall of 1997.

After serving for six years on the Board of the Social Investment Forum and three years as chair of the Board, Ms. Smith is now the Immediate Past Chair of the Board of the Social Investment Forum.

Ms Smith serves on the Steering Committee for the Initiative for Responsible Investment, a project of the Hauser Center at the Kennedy School of Government at Harvard, and on the Board of the Episcopal Divinity School in Cambridge, MA. She is a former Board member and Advisory Board member of Resist! Ms. Smith is a Chartered Financial Analyst charterholder, and a member of the CFA Institute, BSAS, and the American Economic Association. She holds a B.S.F.S. degree from Georgetown University School of Foreign Service, and earned M. A., M. Phil., and Ph.D. degrees in Economics from Yale University. She has spoken on numerous occasions to the Investor Relations community on how IR professionals can best communicate with investors integrating environmental, social, and governance criteria into the management of their portfolios.

The historic financial reform legislation passed this summer by Congress and signed by President Obama will have a major impact on public companies The S.E.C.'s Concept Release on the U.S. Proxy System, which closed for comment on October 20, 2010, points toward a significant overhaul of the proxy voting system. Join us for a panel discussion featuring leading proxy experts who will discuss what these developments mean for investor relations and shareholder communications professionals. The panel members will summarize important rules, provide key data and discuss the impact of the changes before closing with recommendations for preparing for the 2011 proxy season and beyond.

Among other discussion points, the panel will cover:

  • Dodd-Frank Bill -. Aimed at reining in Wall Street, protecting consumers and preventing another financial crisis, this bill has been called the most ambitious regulatory reform of laws governing the financial industry since the Great Depression.
  • Say on Pay - The new federal requirement that public companies hold nonbinding shareholder votes on proposed executive compensation plans creates considerable challenges for corporate leaders.
  • Proxy Access - Allows shareholders with a designated number of shares over a certain period of time to nominate directors for the annual meeting.
  • Concept Release on the U.S. Proxy System - The Securities and Exchange Commission voted unanimously to issue a concept release seeking public comment on the U.S. proxy system and asking whether rule revisions should be considered to promote greater efficiency and transparency.

Moderator: Steve Nutt, joined Broadridge Financial Solutions in 2007. He is responsible for account management and new business development for a 10 state region. Marvin Sims joined Broadridge Financial Solutions in 2005. Who: Patricia Silverstein is the president of Development Research Partners, a Jefferson County, Colorado-based real estate analysis and economic development research company founded in 1994. In addition, she serves as the consulting chief economist for the Metro Denver Economic Development Corp. and the Denver Metro Chamber of Commerce.

Ms. Silverstein received a bachelor's degree in economics from Nebraska Wesleyan University and a master's degree in economics from the University of Colorado
What: Ms. Silverstein will focus on the industry developments that are impacting the economy, including employment and unemployment trends, population growth, construction activity, and the real estate markets. While Colorado remains challenged by cautious consumers and businesses and governments working through a damaging combination of lower sales, property, and income taxes, improvements in the economy will become more apparent in 2011.

The Rocky Mountain NIRI chapter has a program in place to help support our members during these tough times. It is the IRO (Independent Resource Opportunity) program. To qualify you must be an existing IRO (i.e., a practitioner) member or you must have been one within the past three years.
