Is There Life After Loss of Sell- Side Analyst Coverage? Long-term Consequences and Options for Public Companies
Speaker: Simona Mola, Assistant Professor of Finance, Arizona State University
HTML file Access Rich Media Presentation
Show Additional Information

For years, nearly every investor relations officer has spent time attracting, maintaining and managing sell-side analyst coverage on their companies. For small and mid-sized organizations, analyst coverage has been a lifeline to the broad capital market. Many CFOs believe that independent coverage drives investor interest and liquidity, which in turn leads to a more accurate share price and a truer company valuation. But what happens when these same sell-side analysts discontinue coverage? Lost coverage is not only meaningful to small companies but also to larger companies and their investors. What options exist for the IROs of those companies? Is a more aggressive outreach program practical? What about buying company-commissioned research? Please join us for a detailed discussion on this topic.

About the speaker:
Simona Mola, assistant professor of finance at Arizona State University, along with colleagues from Georgia Institute of Technology and Purdue University, has been studying these questions for the past several years. Professor Mola will present the conclusions of recent research where the role of sell-side analysts is evaluated and the impact from losing coverage on publicly traded companies is objectively measured.

High Frequency Stock Trading: Its Importance to Investor Relations Officers
HTML file Access Rich Media Presentation
Show Additional Information

So what do you do when your CEO/CFO walks into your office one afternoon after a high-trading volume day in your stock and asks: "What happened today?" What if you don't have a clue? And what if you have a performance objective to attract "long-term" investors to your shareholder base?

High frequency trading has dominated recent headlines. A measure of market risk, high frequency trading is continual, high-turnover buying and selling with real-time data to control risk while generating returns from small changes. But what are the implications for investor relations professionals, especially considering that it accounts for an estimated 20-30% or more of volume? Join us for a detailed discussion of high frequency trading, how it affects the broad markets and how it affects your investor relations program.

Tim Quast is Managing Director of ModernIR. Tim is a 15-year investor relations veteran and founder and managing director of ModernIR.com, which parses and categorizes over a half-billion shares per week with its trading intelligence systems.

IRO Program
All of us in investor relations - and at NIRI - recognize today's tough economic conditions. The Rocky Mountain NIRI chapter has a program in place to help support our members during these tough times. It is the IRO (Independent Resource Opportunity) program. If your company does not reimburse you for attending NIRI meetings, or if you are not currently employed but want to network with other NIRI members and benefit from the educational programs, the IRO program is for you!

To qualify you must be an existing IRO (i.e., a practitioner) member or you must have been one within the past three years. On a first-come, first-served basis, you could be sponsored for $28 of the fee to attend the meeting. Therefore, if you are a member, normally paying $38 to attend, you would only pay $10. If you are a previous member attending now as a guest, rather than paying $55 to attend, you would pay only $27.

All you need to do is submit your confidential request for sponsorship to Becky Winning via phone at (303)722-8388 or email at winning_ink@msn.com.

Becky will notify you whether or not you are one of the first five requests. You can be sponsored up to three times a year. So don't let the fact that you may be unemployed, under-employed or not being reimbursed by your company keep you away from the NIRI Rocky Mountain Chapter meetings. Be one of the first five people to contact Becky Winning and you could be sponsored for the next NIRI meeting.

Crisis Communications for IROs – How to Help Protect Company Reputation
HTML file Access Rich Media Presentation
Show Additional Information

IROs can't plan for a crisis while in the midst of one. There are several important steps that any organization can take to prepare for unprecedented public attention. Even after the media, shareholders, analysts, competitors and the public jump in, there are proven practices to manage to a successful outcome. Steve Gray, Principal at Rockford Gray, will examine the good, the bad and the ugly in preparing for and making one's way through a crisis.

Among other topics, learn:

What constitutes a crisis?
The need for a thoughtful crisis plan and the elements that comprise it
Roles and responsibilities for executing on a plan
What constitutes success and how to measure it

About the speaker:
Steve Gray, Principal, Rockford Gray Steve's life in journalism started in 1967 as a newspaper carrier for the morning Syracuse Post-Standard. That launched him on a career as an award winning journalist and now expert counsel on crisis communication and media relations. Steve is a principal in Rockford Gray, a Denver-based firm that specializes in helping organizations prepare for and then survive a media crisis. Rockford Gray works with a diverse client base that includes public companies in telecommunications, mining, brewing, healthcare, entertainment and hospitality, to name a few. Rockford Gray espouses two simple ideas: 1. Your company's reputation is its #1 asset. 2. A crisis can quickly dilute or destroy the value of that asset.

MD&A Hot Topics and Recent Developments in Securities Law
Show Additional Information

With a constantly changing regulatory environment, it is important to stay up-to-date on the latest developments and interpretations and to be aware of best practices and trends in writing an MD&A.

Brink Dickerson, a partner with Troutman Sanders, will discuss some of the latest developments and help you to understand how they impact your job everyday. Brink will talk about offering reforms, disclosure controls, and other important subjects. He will focus particularly on some hot topics in writing an MD&A.

Brink is a leading securities and transactional attorney. His securities practice focuses on the routine periodic disclosure obligations of public companies where he advises a group of companies on a regular basis. He also advises a number of other publicly traded companies on a more occasional basis and regularly advises e-commerce and other start-ups with respect to venture capital and financing issues. He has advised clients in more than seventy merger and acquisition transactions as well as publicly traded companies with respect to their corporate governance and related issues, including defensive measures such as shareholder rights plans.

If you have considered inviting your CFO or General Counsel to one of the NIRI sessions, this would be a particularly relevant discussion for your colleagues, so please bring them along!
